# NorvexaLink Terms of Service: General Commercial Trading Conditions

## 2. Acceptance of Terms
By accessing, browsing, submitting information to, or interacting with this website, you explicitly acknowledge that you have read, understood, and agreed to be legally bound by these Terms and our incorporated Privacy Policy.

## 3. Products, Commodities & Sourcing Services
NorvexaLink operates as a multilateral B2B general trading facilitator, specializing in cross-border product sourcing, import and export coordination, bulk consumer goods, sustainable packaging materials, industrial components, and wholesale merchandise. Website descriptions do not constitute a binding legal offer or unilateral warranty of immediate inventory availability until formalized in an executed Proforma Invoice (PI) or Sales Contract.

## 4. Quotations, Pricing & Market Validity
Quotations and commercial price estimates issued by NorvexaLink in response to trade enquiries are non-binding until formalized in an executed agreement. Unless explicitly stipulated otherwise in writing, all prices are in EUR or USD, quoted net of VAT/BTW, customs tariffs, import clearance fees, and port handling charges. Formal commercial quotations remain valid for fourteen (14) calendar days from issuance.

## 5. Orders, Contracts & Binding Legal Commitments
A legally binding commercial purchase order or supply contract is formed exclusively upon the occurrence of:
1. Mutual written execution of a formal Sales Contract or Proforma Invoice countersigned by an authorized corporate signatory; and
2. Receipt by NorvexaLink of the agreed initial down payment, deposit, or confirmed irrevocable Documentary Letter of Credit (L/C).

## 6. International Commercial Delivery Terms (Incoterms 2020)
All physical shipments, freight movements, and delivery arrangements negotiated through NorvexaLink are governed strictly by the official Incoterms 2020 rules published by the International Chamber of Commerce (ICC).
- Standard supported Incoterms include: Ex Works (EXW), Free On Board (FOB), Cost and Freight (CFR), Cost, Insurance and Freight (CIF), Delivered at Place (DAP), and Delivered Duty Paid (DDP).

## 7. Quality Inspection, Tolerances & Factory Audits
Commercial commodities and industrial components supplied under contracts facilitated by NorvexaLink are subject to standard international manufacturing tolerance levels and Acceptable Quality Limits (AQL) under ISO 2859-1 standards. Pre-shipment inspections (PSI) conducted by independent accredited third-party auditing agencies (e.g., SGS, Bureau Veritas, TÜV, Intertek) may be commissioned.

## 8. Payment Terms, Letters of Credit & Default Remedies
Approved commercial payment mechanisms include:
- Irrevocable, Confirmed Documentary Letters of Credit (L/C at Sight);
- Structured Telegraphic Wire Transfers (T/T with staged milestones);
- Escrow or third-party trade finance arrangements.

## 9. Customs Clearance, Duties, Taxes & Trade Compliance
The allocation of fiscal and logistical responsibility for export clearance, import declarations, customs tariffs, and excise taxes depends strictly on the agreed Incoterm. Both parties warrant compliance with all applicable European Union, United States, United Nations, and local export control regimes, sanctions screening protocols, and anti-bribery regulations.

## 10. Governing Law & Dispute Resolution
These Terms and all bilateral supply contracts negotiated through NorvexaLink are governed by, and construed exclusively in accordance with, the laws of the Kingdom of the Netherlands, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any dispute shall be submitted to the competent commercial courts located in the district of 's-Hertogenbosch (East Brabant), The Netherlands, or resolved via binding commercial arbitration under Netherlands Arbitration Institute (NAI) rules.
