1. Introduction & Company Information
Welcome to NorvexaLink ("Company," "we," "our," or "us"). NorvexaLink is an international general trading, sourcing facilitation, and B2B commercial distribution enterprise organized and operating under the laws of the Kingdom of the Netherlands, having its registered business office at Voorste Zeedijk 132, 5251 VL Vlijmen, The Netherlands (Telephone: (+31)-(0)63-418 45 48; Email: [email protected] / [email protected]).
These Terms of Service ("Terms") establish the general legal framework, rights, obligations, and commercial operating rules governing your access to and use of our digital website, online catalogues, commercial trade intake systems, and any related communications or bilateral commercial supply contracts negotiated through this platform.
2. Acceptance of Terms
By accessing, browsing, submitting information to, or interacting with this website, you explicitly acknowledge that you have read, understood, and agreed to be legally bound by these Terms, as well as our incorporated Privacy Policy. If you are acting on behalf of a corporation, partnership, or other legal entity, you represent and warrant that you possess the requisite commercial and legal authority to bind that entity to these Terms. If you do not accept these Terms without reservation, you must refrain from using this website or transmitting trade enquiries.
3. Products, Commodities & Sourcing Services
NorvexaLink operates as a multilateral B2B general trading facilitator, specializing in cross-border product sourcing, import and export coordination, bulk consumer goods, sustainable packaging materials, industrial components, and wholesale merchandise. All product specifications, imagery, technical data sheets, and descriptions presented on this website are provided for commercial illustrative and informational purposes only. Website descriptions do not constitute a binding legal offer or unilateral warranty of immediate inventory availability.
4. Quotations, Pricing & Market Validity
Quotations and commercial price estimates issued by NorvexaLink in response to trade enquiries are non-binding until formalized in an executed Proforma Invoice (PI) or Sales Contract. Unless explicitly stipulated otherwise in writing, all prices are in EUR or USD, quoted net of VAT/BTW, customs tariffs, import clearance fees, and port handling charges. Formal commercial quotations remain valid for fourteen (14) calendar days from issuance.
5. Orders & Bilateral Contract Formation
A legally binding commercial purchase order arises exclusively upon: (a) buyer's submission of a formal Purchase Order referencing an active quotation; (b) NorvexaLink's countersignature or delivery of a written Proforma Invoice or Sales Confirmation; and (c) receipt and verification of any required advance deposit or documentary payment instrument by our commercial bank.
6. Payments, Currency & Financial Governance
Permitted settlement mechanisms include Wire Transfer (SWIFT / SEPA), Documentary Letters of Credit (DLC payable at sight), and milestone payments. In the event of delayed payment, statutory commercial interest under the Dutch Civil Code (Burgerlijk Wetboek, Book 6, Article 119a - wettelijke handelsrente) shall accrue automatically on all overdue balances from the due date until full settlement, together with reasonable debt collection fees.
7. Warranties, Quality Inspection & Specifications
NorvexaLink warrants that goods supplied under executed commercial contracts will substantially conform to agreed technical specifications, laboratory formulations, and approved production samples. Buyers are entitled and encouraged to conduct pre-shipment inspections (PSI) at manufacturing premises through qualified independent third-party inspection agencies (SGS, Bureau Veritas, or TÜV). Notice of any visible defects or non-conformity must be served in writing within seven (7) business days of container discharge or port receipt.
8. Shipping, Delivery & Incoterms® 2020
All cross-border cargo dispatch, transit risk, insurance obligations, and port operations are interpreted strictly in accordance with ICC Incoterms® 2020 rules as designated in the governing Proforma Invoice (e.g., FOB Rotterdam, CIF Lagos, CFR Dubai, EXW, or DDP). Delivery schedules represent bona fide commercial estimates. NorvexaLink shall not be held liable for delivery delays caused by maritime bottlenecks, customs blockades, labor strikes, geopolitical conflicts, or force majeure occurrences.
9. Returns, Rejections & Commercial Remedies
Because NorvexaLink conducts wholesale commercial B2B transactions often involving custom-manufactured, palletized, or containerized freight, consumer statutory cooling-off rights do not apply. In the verified event of non-conforming or defective merchandise validated by independent technical inspection, our sole liability and buyer's exclusive remedy shall be, at our election: repair/replacement, credit note, or refund upon return to our designated European logistics depot.
10. Intellectual Property Rights
All content published on this website—including the NorvexaLink name, logo, graphic designs, software source code, website architecture, icons, and text—constitutes intellectual property owned by or licensed to NorvexaLink, protected under Dutch, European, and international copyright and trademark conventions. You may not copy, reproduce, mirror, republish, or commercially exploit any material without prior written authorization.
11. User Responsibilities & Representations
You represent and warrant that all information provided in trade enquiries is accurate and truthful, that you will manually input all business data submitted through our intake forms, and that you maintain all required commercial licenses and import permits within your destination jurisdiction.
12. Prohibited Activities & Trade Compliance
Users and commercial counterparties are strictly prohibited from engaging in any transaction involving entities, individuals, or vessels subject to economic or trade sanctions imposed by the European Union, the United Nations, or the Kingdom of the Netherlands, or using our services for prohibited goods, unauthorized dual-use items, or illicit contraband.
13. Limitation of Liability
IN NO EVENT SHALL NORVEXALINK, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, ANTICIPATED SAVINGS, DEMURRAGE, OR BUSINESS INTERRUPTION). OUR AGGREGATE CONTRACTUAL LIABILITY FOR DIRECT SUBSTANTIATED DAMAGES SHALL IN ALL CASES BE STRICTLY CAPPED AT THE TOTAL AMOUNT RECEIVED UNDER THE SPECIFIC PURCHASE ORDER GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to defend, indemnify, and hold harmless NorvexaLink, its directors, and employees from and against any and all claims, liabilities, losses, damages, and legal costs arising from: (a) your violation of these Terms, (b) fraudulent submissions, (c) customs or regulatory non-compliance in your destination jurisdiction, or (d) intellectual property infringement resulting from custom product specifications provided by you.
15. Third-Party Services & Technical Infrastructure
Our website is hosted on Microsoft Azure in European Union data centers (Netherlands / West Europe), maintaining enterprise-grade ISO 27001, SOC 2, and GDPR security standards. Commercial enquiries are processed and transmitted via FormSubmit.co, an encrypted external transmission bridge ensuring reliable email delivery without persistent database vulnerability.
16. External Links & Social Media Platforms
Our website may contain links to external third-party pages, trade directories, port authority trackers, and official corporate channels on social media platforms (such as LinkedIn). These links are provided solely as a commercial convenience. NorvexaLink exercises no managerial control over third-party websites and assumes no liability for their practices or content.
17. Governing Law (The Netherlands) & Jurisdiction
These Terms and any non-contractual obligations or disputes arising out of them shall be governed exclusively by and construed in accordance with the laws of the Kingdom of the Netherlands (Nederlands recht). The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
18. Dispute Resolution & Commercial Court
The parties shall first endeavor in good faith to resolve any dispute through direct commercial consultations for at least thirty (30) calendar days. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the competent civil court of the Netherlands, specifically the District Court of Oost-Brabant (Rechtbank Oost-Brabant) or, at NorvexaLink's election, the District Court of Amsterdam.
19. Severability & Updates
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect. We reserve the right to revise these Terms periodically with updates published on this website.
